Photo & Video Submission Requirements

Prohibited Content
The following types of content are strictly prohibited on Audio Imperial. Submitting any of these may result in immediate removal of your content without notice, suspension of your ability to submit future content, and in cases involving illegal activity, referral to law enforcement authorities.
Fake, fabricated, or dishonest reviews that do not represent your genuine, firsthand experience with the product
Reviews submitted in exchange for payment, discounts, free products, or any other compensation, without clearly disclosing that relationship in the review itself
Content posted by a competitor, competitor's employee, or agent intended to damage Audio Imperial's reputation or skew our product ratings
Defamatory statements — false statements of fact presented as true that could damage the reputation of a person, brand, or business

Content submitted by automated bots, scripts, or artificial intelligence systems without clear human authorship and genuine personal experience

Ownership, Intellectual Property & Third-Party Rights

You Retain Ownership of Your Content

Audio Imperial's Liability Regarding User-Generated Content
Audio Imperial provides a platform for the submission and publication of User-Generated Content. We are not the authors of third-party UGC and are not responsible for the accuracy, completeness, or legality of any content submitted by users.
To the maximum extent permitted by applicable law:
- Audio Imperial makes no representations or warranties, express or implied, regarding any User-Generated Content published on our website, including no warranty as to accuracy, fitness for a particular purpose, or reliability of user reviews
- Audio Imperial shall not be liable for any direct, indirect, incidental, consequential, punitive, or exemplary damages arising from your reliance on, or use of, User-Generated Content published on audioimperial.com
- Audio Imperial's total aggregate liability to you in connection with UGC shall not exceed the lesser of (i) the total amount you have paid Audio Imperial in the 12 months prior to the relevant claim, or (ii) USD $100
- Audio Imperial is not liable for any failure to remove content that you report as violating this policy, where we have made reasonable good-faith efforts to review and act on your report
Nothing in this limitation of liability section affects rights you may have under applicable consumer protection law that cannot be limited or excluded by contract.
Content Accuracy DisclaimerProduct reviews and customer testimonials on audioimperial.com reflect the individual opinions and experiences of the respective reviewers. Individual audio equipment performance can vary based on room acoustics, associated equipment, cables, and personal hearing preference. Reviews should be considered as one input in your purchase decision, not as a guarantee of identical results for your specific setup.
Indemnification
Holding Audio Imperial Harmless
You agree to defend, indemnify, and hold harmless NMG Express LLC (Audio Imperial), its managers, members, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses — including reasonable attorneys' fees — arising out of or related to:
- Your User-Generated Content, including any claim that your content infringes the intellectual property, privacy, or other rights of any third party
- Your breach of any representation, warranty, or obligation under this UGC License Agreement
- Your violation of any applicable law or regulation in connection with your content submission
- Your failure to make required FTC disclosures regarding material connections with Audio Imperial
- Any claim brought by a third party as a direct or indirect result of your submitted content
Audio Imperial reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate fully in asserting any available defenses.
Governing Law, Jurisdiction & Disputes
Florida Law Governs This Agreement
This UGC License Agreement shall be governed by and construed in accordance with the laws of the State of Florida and applicable federal law of the United States of America, without regard to conflict of law provisions that would apply the law of any other jurisdiction.
Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, validity, interpretation, performance, breach, or termination, shall be subject to the exclusive jurisdiction of the federal and state courts located in Orange County, Florida. You consent to personal jurisdiction in those courts and waive any objection to jurisdiction or venue in those courts.
Informal Dispute ResolutionBefore initiating any formal legal proceeding, you agree to first contact Audio Imperial by email at support@audioimperial.com to describe your dispute and allow us 30 calendar days to attempt to resolve it informally. This requirement does not prevent either party from seeking emergency injunctive relief from a court of competent jurisdiction.
Applicable U.S. Federal LawsThis Agreement and all UGC submitted to Audio Imperial is subject to the following U.S. federal statutes, among others:
- 17 U.S.C. § 101 et seq. — U.S. Copyright Act
- 15 U.S.C. § 1051 et seq. — Lanham Act (Trademark)
- 15 U.S.C. § 45 — FTC Act (Prohibition on Unfair or Deceptive Acts)
- 16 C.F.R. Part 255 & Part 465 — FTC Endorsement & Review Guidelines
- 15 U.S.C. § 6501–6506 — COPPA (Children's Online Privacy)
- 17 U.S.C. § 512 — DMCA Safe Harbor & Takedown
- Pub. L. 117-328 — INFORM Consumers Act (2023)

Policy Updates: Audio Imperial reserves the right to update this User-Generated Content License Agreement at any time. Changes will be posted on this page with a revised "Last Updated" date. The version effective at the time of your content submission governs the rights and obligations relating to that submission. We encourage you to review this page periodically. Continued submission of content after a policy update constitutes your acceptance of the revised terms.
Severability: If any provision of this Agreement is found to be unenforceable or invalid under applicable law, that provision shall be deemed amended to the minimum extent necessary to make it enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.
